Terms of Service

1. Eligibility & Territorial Restriction

Galadri is intended solely for residents of the United States who are at least 18 years of age. Use of the Service by individuals located in the European Union, European Economic Area, or the United Kingdom is strictly prohibited. By using the Service, you represent and warrant that you meet these eligibility requirements and are not accessing the Service from a restricted region.

2. Agentic AI Authorization

Galadri is an "Agentic AI" service. By providing instructions to the AI (e.g., "Book an oil change" or "Follow up with the dealer"), you grant Galadri an express, limited power of attorney and authorization to:

  • Communicate with third parties (dealers, mechanics, marketplaces) on your behalf.
  • Submit your contact and vehicle information to third-party booking systems.
  • Initiate SMS or email communications using your name or account identifiers.

You acknowledge that Galadri acts as your tool. You are the principal, and you are legally responsible for any commitments or contracts initiated by the AI based on your prompts.

3. Commercial Disclosures & Commissions

Galadri may recommend specific products, services, or vehicle listings. You acknowledge that Galadri may have a financial relationship with these third parties and may earn an affiliate commission or referral fee if you purchase a recommended product or service. Our recommendations are generated by AI and are not unbiased professional endorsements.

4. Limitation of AI Liability (The "Hallucination" Clause)

AI technology is inherently probabilistic. Galadri may "hallucinate" or provide inaccurate information regarding gas prices, recall status, or service availability.

Galadri is not liable for:

  • Inaccurate pricing data or car listings.
  • Appointments booked at the wrong time or location.
  • Financial losses resulting from AI recommendations.
  • Mechanical damage resulting from missed or misinterpreted maintenance alerts.

5. Acceptable Use & Automated Access

You agree not to bypass our geographic blocks (e.g., via VPN) to access the service from restricted regions. You further agree not to use automated scripts to scrape data from Galadri or to "jailbreak" the AI to perform actions outside its intended automotive scope.

6. Third-Party Services (DIMO & Others)

If you connect hardware (like a DIMO adapter), you are subject to the manufacturer's terms. Galadri is not responsible for hardware failure, battery drain, or data inaccuracies caused by third-party hardware or APIs.

7. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware. You agree that any dispute arising from the use of Galadri will be resolved through binding individual arbitration in Delaware, and you waive your right to participate in a class-action lawsuit.

8. Billing, Credits & Chargebacks

Galadri operates on a prepaid credit system. Credits are purchased in advance and consumed by API usage. Credits expire one (1) year from the date of purchase. All credit purchases are final and non-refundable except as required by applicable law.

You agree not to initiate chargebacks or payment disputes for authorized credit purchases. If you believe a charge was made in error, you must contact billing@galadri.com within 30 days. Initiating a chargeback without first contacting us constitutes a breach of these Terms and may result in immediate suspension of your account and forfeiture of remaining credits.

Galadri reserves the right to pursue recovery of costs associated with fraudulent or bad-faith chargebacks, including administrative fees imposed by payment processors.

LLM token costs are passed through at cost based on the model selected. Tool call pricing and processing fees are set by Galadri. Galadri may adjust pricing at any time without prior notice to reflect changes in upstream vendor costs (e.g., model provider rate changes). For any other pricing changes, including increases unrelated to vendor costs, Galadri will provide at least thirty (30) days' notice via the email address associated with your account. Continued use of the Service after the effective date of a pricing change constitutes acceptance of the new pricing.

9. Communication Preferences & AI-Inferred Consent

You may control your communication preferences (email, SMS, phone calls, marketing) at any time through the platform interface or by instructing the AI directly. Preferences can be enabled or disabled per channel.

You acknowledge and agree that the AI may update your communication preferences based on your conversational instructions. For example, if you say "call me at this number" or "text me the details," the AI may enable the corresponding communication channel for your account in order to fulfill your request. This constitutes valid opt-in consent for that channel.

You may revoke any communication preference at any time by updating your settings or by telling the AI (e.g., "stop calling me" or "unsubscribe from emails"). Revocation takes effect immediately.
